Business Debit Card Agreement

This Business Debit Card Agreement (“Agreement”) is made by and between Inland Northwest Bank (“INB,” “Bank,” “we,” “us”) and the company whose name appears on the Business Debit Card Application (“Company,” “you,” “your”). This Agreement contains certain terms which govern the Company’s request for issuance of, and use of an INB Visa® Business Debit Card (“Card”). This Agreement incorporates the deposit account agreements which govern the business accounts of the Company and which may be accessed by use of the Card. You should read this Agreement carefully and keep a copy for your records.

Issuance of Cards

INB will issue Cards in the name of the Company and in the names of any employees designated by the Company ("Cardholders"). All Cards must be signed in ink immediately upon receipt by the Cardholders.

Use of Card

By use of the Card, you authorized INB to charge the account to which the Card is related ("Account"). The Card must be used solely for business purposes. The Card may not be used for unlawful purposes, including the purchase of goods or services prohibited by applicable laws or regulations. You acknowledge that the Card is not a consumer card and agree to provide written instructions to each Cardholder that the Card may not be used for personal, family, household or unlawful purposes. INB is not responsible for the refusal of anyone to honor the Cards.

Responsibility for Transactions

Company agrees to be unconditionally and without limitation liable for all debits caused by use of the Cards, whether authorized or unauthorized, whether used by Cardholders or others, and whether arising from Cards lost or stolen or misused. Business accounts are not governed by federal Regulation E. Any debit transaction that the Company disputes is the sole responsibility of the Company, not the Bank.

Security Procedures

Appropriate signatures or use of a Personal Identification Number (PIN) may be required to use a Card for debit transactions. INB will issue a separate PIN to each authorized Cardholder, which must be used with the Card for transactions that require use of a PIN. Company agrees that INB's security procedures are commercially reasonable in the context of Company's operations, requirements and internal procedures. Company is solely responsible for establishing and maintaining procedures to safeguard against unauthorized use of Cards and to protect confidentiality of PINs. Please be advised that INB allows non-MasterCard debit transaction processing and does not require that all such transactions be authenticated with your PIN.

Transaction Limits

There are dollar limitations for Card usage. The dollar limit each business day is determined by the available balance in your Account not to exceed the daily limits. Up to the daily limits, there are no restrictions on transactions in which a PIN is used (which allows Cardholders to receive cash back on such transactions) and no restrictions on cash advances. Daily limits requested on your Application will apply unless otherwise communicated to you in writing by INB. Daily limits may be changed upon written request by Company and subsequent approval by INB.

Exchange Rate

The exchange rate between the Transaction Currency and the Billing Currency used for processing International Transactions is either: a rate selected by MasterCard from the range of rates available in wholesale currency markets for the applicable Central Processing Date, which rate may vary from the rate MasterCard itself receives; or the government-mandated rate in effect for the applicable Central Processing Date in each instance, plus or minus any adjustment determined by the Issuer.


Company agrees that any overdraft occasioned by the use of the Card is an extension of credit by INB to the Company that must be repaid by Company at no more favorable terms and conditions than INB would normally apply to unsecured loans of a similar amount.

Stop Payments

Company understands that stop payments cannot be made on transactions originated by use of the Cards, whether the transaction is authorized or unauthorized.

Periodic Statements

You will receive a monthly statement from us for your Account that will also include a record of transactions from your Cards.

Fees & Charges

Company agrees to pay such fees and charges for use of the Card as may be established by the Bank from time to time (refer to INB's Schedule of Fees & Charges).

MasterCard Zero Liability Policy

You will not be liable for any unauthorized transactions using your MasterCard debit card if: (i) you can demonstrate that you have exercised reasonable care in safeguarding your card from the risk of loss or theft, and (ii) upon becoming aware of a loss or theft, you promptly report the loss or theft to INB. Visit for more details. If Company or Cardholder believes that a Card may have been lost or stolen or that someone may have discovered a PIN, you must notify INB immediately. Telephoning us at (800) 417-8715 is your best way of keeping your possible losses down. Until you notify us, Company will be liable for the full amount of all transactions involving your Card and/or Account, which are not otherwise covered by the MasterCard Zero Liability Policy. You could lose all of the money in your Account (plus your maximum overdraft line of credit or overdraft privilege). When contacting us, you are also required to provide the Bank with a written notice to include: a description of the circumstances of the loss, theft or unauthorized use; your Company name and tax identification number; your Account number; and the Cardholder's name. The written notice must be mailed to: Inland Northwest Bank, 421 W. Riverside Ave., Spokane, WA 99201. The Bank assumes no responsibility to discover and/or audit any possible breach of security or unauthorized disclosure or use of any Card/PIN by you or any of your employees, agents or representatives.

MasterCard Automatic Billing Updater

MasterCard requires all financial institutions that offer credit and debit cards, to participate in the MasterCard Automatic Billing Updater Service (ABU). ABU will provide updates to participating merchants who maintain your card information on file to process your pre-authorized payments. Examples of these participating merchants may include subscription services or utility companies. When you receive a new card, for example expired, lost or stolen cards, this service will allow participating merchants to receive your updated card information. INB is providing each debit card holder the ability to opt-out of ABU should you choose not to participate. Please note that not all merchants may participate in the ABU service. You should contact them to ensure uninterrupted service. If you would like to opt-out, please log into site for an opt-out form and to find additional information on opting out of this service.

Error Resolution

You agree to examine your receipts and periodic statements using ordinary care and to report any errors or problems to us within a reasonable time. You agree that the time to examine your statement and report to us will depend on the circumstances, but will not, in any circumstance, exceed a total of 60 days from when the statement containing the error was first mailed or made available to you. If you do not notify us within 60 days, we will be entitled to treat such information as correct and you will be precluded from asserting otherwise. We will only re-credit your account for error or problems as required by law or the MasterCard Zero Liability Policy.

Change of Terms

Company agrees that this Agreement, including dollar limitations on use of a Card, may be amended at any time. INB will notify Company of amendments to the Agreement and the effective date as required by applicable law. If Cards are used after the effective date, Company will be considered to have agreed to the new terms even if Company has sent us written notice that Company does not agree to the change.


INB shall have the right, at its sole discretion, to terminate Company’s privileges hereunder with no advance notice. Upon request, Company must surrender all Cards to INB. Company may cancel Cards at any time by notifying INB in writing and returning the Cards cut in half.

Cardholder Data

INB may provide Cardholder personal data to MasterCard, its Members, or their respective contractors for the purpose of providing Emergency Cash and Emergency Card Replacement Services. By signing this Agreement, you are consenting to the release of this information.

Hold Harmless

Company agrees to unconditionally indemnify and hold INB harmless against all claims, actions, proceedings, damages, losses and liability, contingent or otherwise, including all expenses of every kind and nature and including reasonable attorney's fees incurred or suffered as a result of INB issuing a debit card under this Agreement.

Governing Law

This Agreement will be governed by the laws of the State of Washington, as well as federal laws and regulations. If any provision of this Agreement is determined to be unlawful or unenforceable for any reason, the remainder of the Agreement will remain enforceable.
